Terms of Service

By creating an account or using Kreto's services, you agree to be bound by these Terms of Service ("Terms"). If you are using Kreto on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

Kreto provides a cloud-based compliance intelligence platform ("Service") that uses artificial intelligence to: - Classify and analyze government tax compliance notices - Cross-reference notice claims against uploaded payroll data - Generate recommended actions, protest letters, and compliance reports - Track deadlines and send alerts - Provide a multi-client management dashboard for CPA firms The Service is provided on a subscription basis (SaaS) and is accessible via web browser.

IMPORTANT: Kreto's AI-generated recommendations, protest letters, classifications, and compliance analysis are provided for informational purposes only and do NOT constitute legal advice, tax advice, or professional accounting advice. - AI outputs may contain errors, omissions, or inaccuracies - All AI-generated content should be reviewed by a qualified CPA, attorney, or tax professional before submission to any government agency - Kreto is not a law firm, accounting firm, or licensed tax advisory service - No attorney-client, CPA-client, or advisory relationship is created by using Kreto - You are solely responsible for all decisions made based on Kreto's output - Kreto does not guarantee any specific outcome, savings, or result from using the platform

**Your Data:** You retain full ownership of all data you upload to Kreto, including payroll reports, compliance notices, and business information. We claim no ownership rights over your data. **License to Process:** By uploading data, you grant Kreto a limited, non-exclusive license to process your data solely for the purpose of providing the Service. This license terminates when you delete your data or close your account. **AI Outputs:** Compliance reports, classifications, and draft letters generated by Kreto's AI based on your data are owned by you. You may use, modify, and distribute these outputs as you see fit. **Aggregated Data:** We may use anonymized, aggregated data (with all PII removed) to improve our classification models and service quality. No individual business or person will be identifiable from aggregated data.

- You must provide accurate and complete information when creating an account - You are responsible for maintaining the security of your account credentials - You must notify us immediately of any unauthorized access to your account - You may not share your account with unauthorized individuals - You are responsible for all activity that occurs under your account

You agree not to: - Upload fraudulent, falsified, or intentionally misleading documents - Attempt to reverse-engineer, decompile, or extract Kreto's AI models or algorithms - Use the Service to violate any applicable law or regulation - Share or redistribute Kreto's proprietary classification logic - Attempt to circumvent rate limits, access controls, or security measures - Use the Service for any purpose other than legitimate business compliance management

- Subscriptions are billed monthly or annually, as selected at checkout - Prices are subject to change with 30 days' notice - You may cancel your subscription at any time; access continues through the end of the billing period - No refunds are provided for partial billing periods - Free trial accounts are subject to usage limits as specified during sign-up

We strive to maintain 99.9% uptime for the Service but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance when possible. We are not liable for downtime caused by force majeure events, third-party service outages, or circumstances beyond our reasonable control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: - Kreto's total liability for any claim arising from or related to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim - Kreto shall not be liable for any indirect, incidental, special, consequential, or punitive damages - Kreto shall not be liable for any penalties, fines, or assessments imposed by government agencies, even if Kreto's AI analysis was incorrect or incomplete - Kreto shall not be liable for missed deadlines if you failed to act on alerts provided by the Service

You agree to indemnify and hold harmless Kreto Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

- Either party may terminate the agreement by providing written notice - Kreto may suspend or terminate your account for violation of these Terms - Upon termination, you may request export of your data within 30 days - After 90 days post-termination, your data will be permanently deleted

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Hamilton County, Ohio.

We may update these Terms from time to time. We will notify you of material changes via email or through a notice on the platform. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
